Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Ekaya Inc. ("Ekaya," "we," "us," or "our") governing your access to and use of the Ekaya platform, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Description of Services

Ekaya provides an AI-enabled data access platform that allows teams to securely connect to their data sources and interact with their data through natural language interfaces.

2.1 Service Architecture

The Ekaya platform consists of two components:

  • Ekaya Cloud: A cloud-hosted service operated by Ekaya that provides user authentication, project configuration, billing, and license management.
  • Ekaya Engine: Software that runs within your infrastructure (on-premises or in your cloud environment), connecting to your databases and processing queries. Your business data remains entirely within your environment and is never transmitted to Ekaya.

2.2 Features

Our Services include:

  • Project creation and management
  • User authentication and access control

3. Account Registration

To use certain features of our Services, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account and use our Services.

4. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable laws or regulations
  • Infringe the intellectual property rights of others
  • Transmit any malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Collect or harvest user information without consent
  • Use the Services for any illegal or unauthorized purpose
  • Resell or redistribute access to the Services without authorization

5. Your Data

5.1 Ownership

You retain all ownership rights to your data. Ekaya does not claim ownership of any data you submit, store, or transmit through our Services.

5.2 Data Processed by Ekaya Engine

Data processed by the Ekaya Engine running in your environment remains entirely under your control. Ekaya does not have access to, and does not collect, your database contents, query results, or any business data processed by the Ekaya Engine. You are the sole data controller for all such data.

5.3 Data Processed by Ekaya Cloud

By using Ekaya Cloud services, you grant Ekaya a limited, non-exclusive license to process your account information, project configurations, and usage data solely as necessary to provide the Services to you. See our Privacy Policy for details on what data Ekaya Cloud collects and how it is used.

5.4 Data Security

You are responsible for maintaining appropriate security measures for your data sources, the Ekaya Engine deployment in your environment, and your credentials. Ekaya is not responsible for data breaches resulting from your failure to secure your infrastructure, database credentials, or access controls.

5.5 Compliance

You are responsible for ensuring your use of the Services complies with all applicable data protection and privacy laws, including obtaining any necessary consents from data subjects. As the data controller for data processed by the Ekaya Engine, you are responsible for compliance with respect to that data.

6. Fees and Payment

6.1 Pricing

Certain features of our Services require payment. Current pricing is available on our website. We reserve the right to change our pricing with reasonable notice.

6.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees incurred.

6.3 Refunds

Fees are non-refundable except as required by law or as explicitly stated in these Terms. If you cancel your subscription, you will continue to have access until the end of your current billing period.

7. Intellectual Property

7.1 Ekaya's Rights

The Services, including all content, features, and functionality, are owned by Ekaya and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

7.3 Feedback

If you provide us with feedback or suggestions about our Services, you grant us the right to use such feedback without restriction or compensation to you.

8. Third-Party Services

Our Services may integrate with or contain links to third-party services. We are not responsible for the content, policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, EKAYA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, EKAYA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your data

IN NO EVENT SHALL EKAYA'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO EKAYA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Ekaya and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your data or content submitted through the Services

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. You may request export of your data within thirty (30) days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree that any arbitration shall be conducted on an individual basis and not as a class, consolidated, or representative action.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Ekaya regarding the Services.
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
